Terms of Service

1. Definitions

• "Company" means Greenlight Labs and its owners, officers, employees, agents, and affiliates.
• "Software" means any application, script, tool, engine, or code distributed by Greenlight Labs, including but not limited to Sandy Omega and any future products.
• "Service" means the website, API, dashboard, key validation system, and any related infrastructure operated by Greenlight Labs.
• "User" or "You" means any individual or entity that purchases, downloads, installs, or uses the Software or Service.
• "Access Key" means the unique alphanumeric license key issued to a User upon purchase.
• "HWID" means Hardware Identifier, a unique hash derived from your device's hardware characteristics used to bind your license.
• "Third-Party Platform" means any software, service, or platform not owned or operated by Greenlight Labs, including but not limited to NBA 2K, PlayStation Network, Xbox Live, Steam, Take-Two Interactive, Visual Concepts, Sony Interactive Entertainment, and the National Basketball Association.

2. Nature of Software and Third-Party Disclaimer

Greenlight Labs is NOT affiliated with, endorsed by, or sponsored by Take-Two Interactive, 2K Sports, Visual Concepts, Sony Interactive Entertainment, the National Basketball Association, or any other Third-Party Platform.

The Software is designed and marketed as an offline practice and training tool. It is intended to help users analyze and improve their shot timing skills in a controlled, offline environment.

⚠️ WARNING — USE AT YOUR OWN RISK: If you choose to use the Software in connection with any online service, multiplayer mode, or Third-Party Platform, you do so entirely at your own risk. Such use may violate the terms of service of those platforms and may result in account suspension, permanent bans, loss of in-game progress, loss of purchased content, or other consequences. Greenlight Labs assumes no responsibility for any such consequences.

By using this Software, you acknowledge and accept all risks associated with its use, including but not limited to actions taken by Third-Party Platforms against your accounts.

3. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Greenlight Labs grants you a non-exclusive, non-transferable, revocable, limited license to use the Software on a single device identified by its HWID.

You may NOT:

1. Copy, redistribute, sublicense, sell, lease, or rent the Software or your Access Key;
2. Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software;
3. Modify, adapt, translate, or create derivative works based on the Software;
4. Share, publish, or disclose your Access Key to any third party;
5. Use the Software on more than one device simultaneously or transfer it to a different HWID without authorization;
6. Use the Software for any commercial purpose, including streaming, content creation for profit, or competitive play for prizes, without express written permission;
7. Use automated tools, bots, or scripts to interact with the Service or API beyond normal Software operation;
8. Circumvent, disable, or interfere with any security, validation, or access-control features of the Software or Service;
9. Use the Software in any manner that violates applicable law.

HWID Binding: Your Access Key is bound to a single hardware identifier. If you change your hardware, you must contact support for a HWID reset. Excessive reset requests may be denied at our discretion.

Tier Definitions: Weekly licenses are valid for 7 calendar days. Monthly licenses are valid for 30 calendar days. Lifetime licenses are valid for the duration of the current major software version and do not guarantee access to future major releases.

4. Purchases and Payments

ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES.

By completing a purchase, you acknowledge that you have read and understood these Terms, including the disclaimers and risk warnings, and that you are making an informed decision.

Chargebacks: If you initiate a chargeback or payment dispute, your Access Key will be immediately and permanently revoked. Greenlight Labs reserves the right to pursue recovery of the original transaction amount, any fees incurred, and reasonable attorney's fees.

5. Data Collection and Privacy

Greenlight Labs collects the following data in connection with the Software and Service:

• HWID: A hash derived from your hardware characteristics (MAC address, hostname, processor, OS, architecture). This is used solely for license validation and is stored as a one-way hash.
• Email address: Collected at checkout for order confirmation and Access Key delivery only. We do not send marketing emails, newsletters, or promotional content.
• Payment information: Processed by Stripe and/or Coinbase Commerce. Greenlight Labs does not store credit card numbers or cryptocurrency wallet addresses.

California Residents (CCPA): You have the right to know what personal information we collect, request deletion of your data, and opt out of the sale of personal information. 6. Access Key Security and Revocation

You are solely responsible for the security of your Access Key. Greenlight Labs may revoke your Access Key without refund for any of the following reasons:

1. Sharing or distributing your Access Key;
2. Attempting to use the Key on unauthorized devices;
3. Reverse-engineering or tampering with the Software or Service;
4. Initiating a chargeback or payment dispute;
5. Violating these Terms of Service;
6. Engaging in conduct that harms Greenlight Labs, its users, or its reputation;
7. At the sole discretion of Greenlight Labs if we reasonably believe misuse has occurred.

7. Intellectual Property

All intellectual property rights in the Software, Service, website, branding, and related materials are and remain the exclusive property of Greenlight Labs. Your license does not grant you any ownership interest. All trademarks, logos, and service marks displayed are the property of their respective owners.

8. Disclaimer of Warranties

THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GREENLIGHT LABS SPECIFICALLY DISCLAIMS:

1. Any warranty that the Software will be error-free, uninterrupted, or free of harmful components;
2. Any warranty of merchantability or fitness for a particular purpose;
3. Any warranty that the Software will achieve any specific result, accuracy rate, or performance level;
4. Any warranty that the Software will be compatible with future game updates, patches, or platform changes;
5. Any warranty against detection, suspension, or banning by Third-Party Platforms;
6. Any warranty regarding the availability, uptime, or continuity of the Service or API;
7. Any warranty that Access Keys will remain valid indefinitely;
8. Any implied warranties arising from course of dealing or usage of trade.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENLIGHT LABS' TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE OR SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR CURRENT LICENSE.

IN NO EVENT SHALL GREENLIGHT LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GAME ACCOUNTS, IN-GAME PROGRESS, VIRTUAL CURRENCY, OR GOODWILL.

10. Indemnification

You agree to indemnify, defend, and hold harmless Greenlight Labs and its owners, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to: (a) your use of the Software or Service; (b) your use of the Software in connection with any Third-Party Platform or online service; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation.

11. Community Guidelines

Users who participate in Greenlight Labs community spaces (Discord, forums, social media) agree to conduct themselves respectfully. Greenlight Labs reserves the right to remove users from community spaces for harassment, hate speech, threats, doxxing, spam, or distribution of leaked or pirated content. Community violations may result in Access Key revocation at our discretion.

12. Binding Arbitration and Class Action Waiver

Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only in your individual capacity and not as a class action, collective action, or representative proceeding. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

Venue: Arbitration shall take place in the State of Wyoming, United States.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@greenlightlabs.co within 30 days of your first purchase.

Small Claims Exception: Either party may bring an individual action in small claims court if the claim qualifies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

14. Modifications to Terms

Greenlight Labs reserves the right to modify these Terms at any time. Material changes will be communicated via the website or email. Continued use of the Software after changes constitutes acceptance of the revised Terms. It is your responsibility to review the Terms periodically.

15. Termination

Greenlight Labs may terminate or suspend your license and access at any time, with or without cause, with or without notice. Upon termination, you must cease all use of the Software and destroy all copies. Sections 4 through 13 survive termination.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Greenlight Labs regarding the Software and Service, and supersede all prior agreements, representations, and understandings.

18. Force Majeure

Greenlight Labs shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, internet outages, or third-party service failures.
